Jefferson County Republican Women GOP By-Laws (Proposed)

Article I: Name

The name of this organization shall be GOP Women of Jefferson County, Tennessee

Article II: Purpose

. To encourage women to run for public office.

. To promote informing the public through political education and activity.

. To support the Republican Party at all levels of government, provided they do not violate the Constitution of the United States or the moral conduct of God's laws.

. To promote the Republican Party

Article III: Membership

. An individual member in good standing is one who's current dues are paid. Dues will be due during the last quarter of the year and good for the next year.

. Any Republican woman who believes in the principals of the Republican Party and who supports this organization shall be eligible for membership.

. Associate membership may be obtained by Republican men upon payment of the required annual dues to the club. Such members may attend meetings, but can not make motions, vote, be on committees, or hold office. Associate membership is $20

Article IV: Officers and their Duties

. All elected officers shall be active members in good standing and qualified for their position.

. Officers can hold only 1 position at a time.

. Elected offices consist of President, Vice President, Recording Secretary, and Treasurer.

. Terms of office will be 2 years an elected biennially. The elections will be in odd years and officers may serve 2 consecutive terms in the same office. If no candidate is presented after the 2 year term, an officer may continue to serve by affirmation.

PRESIDENT

. To preside over all meetings of the club.

. To appoint committees as needed.

. To represent the club or designate someone to represent them in their absence.

. To issue a call to meeting

. To serve as ex-officio member of all committees.

VICE PRESIDENT

. To preside in the absence of the club President.

. To perform other duties as assigned by the President.

SECRETARY

. To record all minutes of the club.

. To present all the minutes of the club.

. To serve as custodian for all records of the club and prepare a permanent record book to be delivered to her successor.

TREASURER

. To prepare the club officers a budget.

. To receive and be custodian of all funds of the club and to pay bills.

. To keep account of monies received and disbursed and present a report at each meeting.

. To keep an up-to- date roster of members and payment of dues.

. To be a Signee on the club's bank account.

. To submit all tax reports to the IRS as required by law.

RESIGNATION FROM OFFICE

Should an executive officer, who currently serves, support publicly a candidate in a primary election, advocating a split party ticket or support a candidate running on an opposition ticket, she must resign from office.

VACANCIES

A vacancy in an elected office shall be filled with nominations from the club membership at the next meeting following the vacancy. Nominations shall be made from the floor.

OFFICERS RECORDS

All records, lists, and database files are the sole property of the club and shall not be distributed or shared with anyone not authorized by the club. Email lists shall not be distributed to candidates or other entities that are not conducting business for the club.

ARTICLE V: MEETINGS

. There shall be no proxy voting, however electronic meetings may be necessary.

. Regular meetings consist of members present and voting will be determined by a simple majority.

ARTICLE VI: POLICY

. The club, club officer, nor any individual member shall advocate a split party ticket or support a candidate running on an opposing ticket.

. The club nor it's Executive Committee shall not endorse any candidate for office before the Primary Election or National Convention, nor participate in any fractional contest excluding State Executive Committee or as a Delegate To The Republican National Convention.

. Non-Republican Political Candidates, Office Holders, or Party Officials or their representatives shall not be allowed to address the group or distribute political materials.

. The official spokesperson for the club will the President or her designated representative.

. No club officer or member has the authority to move monies in accounts without the approval of the Treasurer of the club. The approval shall be reflected in the club minutes. Movement without approval from membership or in an emergency, the Executive Committee is limited to $50.

. The club as a whole and its President shall not endorse any candidate for public office in a contested Republican Primary, Run-off Election, Special Election, or Non-Partisan Election when more than 1 Republican is in the race. However, individual members of this organization may work for the candidate of their choice in a contested Republican Primary but not in the name of the club. An officer of this organization who is a candidate, or whos spouse or family member is a candidate, shall be exempt from this rule, however they may not do so in the name of the club.

. Any membership or mailing list aquired through membership in the club shall not be used for any private endeavor.

ARTICLE VII: PARLIAMENTORY AUTHORITY

. Roberts Rules of Order newly revised shall govern the club meetings in all instances where they are applicable and in which they are not inconsistant with these bylays.

ARTICLE VIII: AMENDMENTS

. These articles may be amended by 2/3 vote of the club's present members provided the proposed amendments have been made available to club members 30 day prior to the meeting to which they are to be amended.
